What is the INC
The International Newcomers Club or INC for short, is a non-profit, English-speaking association that aims to assist new arrivals in Sao Paulo to get to know their new community and to provide continuous support and opportunities for its members.
The club offers a variety of social and cultural events on a regular basis and serves as an important resource for information on living in São Paulo. As part of its efforts to integrate members into the community, the club supports local charities through periodic fund-raising events, as well as encouraging hands-on volunteering.

INC History and Information
63 Years of History and Tradition in São Paulo
INC finds its strength in the amazing contributions of its members. Run entirely by volunteers, INC members have generously donated their time and skills to keep this club running for 63 years. Our volunteer Board of Directors governs the club. The Executive Board is made up of three elected officials (President, Treasurer and Secretary) and three appointed Vice-Presidents (Welcoming, Events and Communications), each of whom lead the team in their respective areas. The full Board also includes Directors in the areas of Membership, Monthly Meetups, Red Rose, Activities, Community Services, Monthly Lunch, Commercial Relations, Advertising and Marketing. The Advisor to the Board also plays an important role, providing historical insight and advisement to insure the continuity of the club. Also essential to the club are the Dicas Editor, Area Representatives and Special Interest Group Coordinators. Also working alongside our directors are the INC Accountant and INC Attorney, who provide legal and accountancy advisement and services regularly, and count on continued communications with our Past Presidents and other Lifetime Members, who provide valuable insight into the history of the club.
The club has been a beacon for expat arrivals for more than six decades and has existed alongside many other organizations that represent the different nationalities and cultures in the city: Accueil (French), The American Society of São Paulo, The Australian Society of São Paulo, The British Society of São Paulo, The Canadian International Society (currently not running) and The Saint Andrew Society of São Paulo, just to name a few. INC also played an important role in the birth of two other organizations in our community. Once an INC Area, the International Expats of Alphaville has since grown into an independent club for those living in the cities of Aldeia da Serra and Paranapiacaba. Similarly, the now prominent Club de Amigas Latinas began as a weekly activity for the Spanish-speaking members of our club. INC coordinates its calendar with the other organizations in our community so that important events never overlap and our community can take the fullest advantage of the oppoortunites we provide. INC also participates in the reciprocal exchange of support with these organizations, promoting each other's key events and on occasion partnering up to create something extra special for the community.
1960s - Founding a New Club
Sixty-three years ago, a small group of expat women came together to support each other in their adventures in this foreign land. It was these ladies who came together for coffee every Wednesday morning that planted the first seed, expanding their friendships and sharing their enthusiasm and vision to make São Paulo a good place to live. It was through the efforts of those women that the International Newcomers' Club of São Paulo began.
1970s - Exchanging our First Dicas
In the 1970's, INC established its first permanent address and began to host its Monthly Coffees at St. Paul's Anglican Church on Rua Elias Zarzur, 1231 in the Alto da Boa Vista Neighborhood. During this decade, INC began a "Shopping Card File", which would eventually turn into the DICAS book, the most respected and popular guide to SP city, writen by expats for expats.
1980s & 1990s - Establishing our Activities
In the 1980's INC moved locations to the traditional SPAC - São Paulo Athletic Club. In 1990, INC's permanent address and Coffees relocated for the first semester to the Fellowship Church an later to the Hilton Hotel then located on Avenida Ipiranga. In November, it again relocated to the Brasilton Hotel at Rua Martins Fontes, 330. In December 1990, INC announced its new "home", the Scandinavian Church, on Rua Job Lane, 1030.
Early 2000s - A New Structure Begins
In May 2007, the Scandinavian Church underwent renovations and INC once again had to relocate. The May Coffee was held at the Banespa Club, the second semester at Kolping German Catholic Club and the first semester of 2008 at the Business Center near Transamerica Hotel. INC finally moved its bazaars back to the Scandinavian Church in August 2008 and has held them there since.
Today - We've Come a Long Way!
From its early days as an expat ladies club, Newcomers’ has followed the times and has become one of the city’s most prominent organizations for the international community. Since 1961, thousands of families from all over the world have made the most of INC as source of friendships and social activities. Today, INC is not just for brand new arrivals. Our members who have been here the longest also benefit from the ongoing support that INC provides, and offer a wealth of information for our newest arrivals. INC is also not just for women anymore. With the ever-changing face of society, INC members include singles, families, couples with no children, and couples in which the wife is the working spouse - and INC’s diverse activities are a reflection of these ongoing changes.
Reaching Out to the Local Community
INC also has a very special Community Services program. Newcomers are invited to make a real difference in peoples’ lives. Our efforts are concentrated on the amazing human potential we have in our club, and focus on getting members directly involved in volunteerism in local institutions, while providing the financial support that is needed.
Our main purpose is to help new arrivals become acquainted with the community, to facilitate social contacts, to share information and to provide activities for all members of the family. We've maintained our tradition of INC Wednesdays, an easy way to plan ahead and know that there will be something on your calendar every week.
Social Calendar
We hold our main event, Monthly Meetups, for all members and potential members on the 1st available Wednesday of the month.
On 2nd available Wednesday of the month, we host Red Rose Coffees that are geared more towards new members. Each new member will be invited to attend three of these coffees, but are welcome to attend many more. It is a great opportunity to meet other new members in a more intimate environment, as it is usually held at a member’s home.
The 3rd and 4th Wednesdays of the month are filled with INC Activities and INC Lunches, respectively, giving members an opportunity to see the city and make new friends.
Creating Lasting Friendships
We are also on Facebook and Instagram with a dedicated INC group, in which INC members have access to information, questions and answers, and upcoming events. To protect member identities and content, the group is "private" in status and available to members only. Every week, members also receive a weekly update with news and events around town. All of these steps aim to create opportunities for expats to socialize and to build lasting friendships.

INC Past Presidents Award
The “INC Presidents Award” represents INC’s highest honor. This award shall granted to an individual each year, in recognition for exceptional and selfless dedication in welcoming and assisting the international community of São Paulo.
It was instated in 2011, in lieu of the INC's 50th Anniversary, on behalf of the Organization of Past Presidents, by Past President Patricia C. de Luna (2007-2009) with the participation of INC 2012 President Elect Birgit Wingert-Runge, and INC Past Presidents Eliana Marcílio (2011), Amy Shimota (2010), Lexie Morandini (2001-2003) and Kathleen Digirolamo (2004-2005).
The INC Presidents Award was instated with the following objectives:
- To award exceptional sustained efforts to advance the social objectives of the International Newcomers’ Club of São Paulo;
- To acknowledge exceptional and selfless dedication which benefited or enhanced the International Newcomers’ Club of São Paulo membership;
- To establish standards of excellence for volunteerism in welcoming and assistance to members of the international community of São Paulo;
- To encourage ongoing volunteer efforts with the International Newcomers’ Club of São Paulo.
Each year, the membership of the International Newcomers’ Club of São Paulo shall be invited to submit nominations for this award, explaining why the individual being nominated is worthy of receiving this award.
A committee made up of the INC Past Presidents and previous winners of the award shall then review all submissions and shall select the person to be awarded this INC honor. The award shall be presented each year at the INC Annual General Assembly in November.
INC Past Presidents Award Recipients

2018: Sandy Josiger (Brazil)
Sandy is Brazilian and grew up as an expat. She lives in São Paulo with her husband and son. Sandy met every one of the four criteria established for this award in 2018, going above and beyond in managing the events team, creating interesting activities and proactively seeking volunteers for INC. She takes on quite a bit and she pulls it off every time - and always with a smile. She genuinely had INC members' best interests at heart and her generous actions continually contribute greatly to the continuity of the club.
2017: Taheera Pinto (USA/India) & Elizabeth Samperio (USA)
Taheera is American, originally from India. She moved to Brazil with her husband Vijay and their lovely daughter. Taheera did an exceptional job in her role as President of the club, bringing her leadership skills and incredible energy into the club. She lead by example, enthusiastically promoting INC and making sure all members felt equal and welcome.

Elizabeth is also American and moved to São Paulo with her husband José and their three children. She served as VP of Welcoming and lived the standard of making each member feel welcome to INC. As a board member, she generously dedicated her time not just to her role but also to helping the club thrive.
2016: Agnes Alhassani (USA)
Agnes is from Puerto Rico this was her second time in Brazil with her husband Sam. Since joining INC, Agnes has taken on many roles including VP of Welcoming, in which she did exceptional work making new arrivals feel welcome and integrated into the club. She has also served as Advisor to the Board, a role in which she went above and beyond the call of duty to insure the continuity of the club and to boost membership and volunteerism within INC. Agnes was chosen as the recipient of the award in 2013 and now again in 2016, in recognition for her incredible dedication to the club and to welcoming and assisting the International community of SP.
2014 & 2015: Birgit Wingert Runge (Germany)
Birgit and her husband Frank moved to São Paulo from Germany. She served in many roles in INC, including the Presidency. Birgit was chosen as the recipient of the award in both 2014 and 2015 in recognition for her kindness to the club and to its members, and for her selfless devotion to the club.
2013: Agnes Alhassani (USA)

2012: Patricia C. de Luna (Brazil)
Patricia is Brazilian and grew up as an expat in Mexico, the US and the Netherlands. She finally moved to São Paulo where she lives with her husband Carlos. Since moving to the city, she has been an active member of the INC Board. Her first position was as chairperson to the Working Women of International Newcomers in 1996, and has since held many positions on the INC Board including Presidency. During her tenures as President, she was responsible for the turnaround and legal, accounting and financial restructuring of the club with a systematic increase and improvement of educational, social and sporting activities and planning of events, implementation of community projects in local charitable organizations through promotion of volunteerism for social integration and awareness of the members of the organization, as well as learning opportunities for children within assisted organizations, resulting in wider visibility for the organizations. She was also active in planning and coordination of events to raise funds for building renovations for charitable organizations and to meet the needs of these institutions through participation and sponsorship from multinational companies. Patricia was also the original founder of the INC Past Presidents Award and was chosen as the recipient of the award in 2012 in recognition for exceptional and selfless dedication in welcoming and assisting the International community of SP.

2011: Martha Christina Sheridan (USA)
Chris and her husband Paul are from New York and were here in Brazil for the second time. On her first time in São Paulo, Chris was already an active member of the INC Board. She played a huge role in the 2008 Masquerade Ball, a gala event that allowed INC and CIS (formerly CIWS) to raise over R$30 thousand for charity projects, including a halfway home for children battling cancer, INC's selected project that year. During the Sheridan's second term in São Paulo, Chris took on the role of VP of Events - and what a busy time we had! She also played a large role in putting together the INC's 50th Anniversary Gala, held a the Hípica Santo Amaro in April 2011 which raised money for several charity projects, namely the Salvation Army, Criança Brasil and Arte e Luz da Rua. Chris ended her year at INC stepping up to the role of President, when our standing president moved away. During both terms, Chris has shared her incomparable energy, friendship and love for INC in a way that has touched the lives of many of its members.
INC Special Lifetime Award
The “INC Special Lifetime Award” shall granted to a special individual, in recognition for exceptional and selfless contrinutions to the International Newcomers' Club of São Paulo.
It was instated in 2016, by the INC Board of Directors, with the following objectives:
- To acknowledge exceptional and ongoing contributions by an INC Member to the International Newcomers’ Club of São Paulo;
- To value long-time Members over the age of 65, who have made contributions to the club;
- To establish standards of excellence for contributions by members of the international community of São Paulo;
- To encourage ongoing volunteer efforts with the International Newcomers’ Club of São Paulo.
INC Member may nominate a fellow member for this award at any time. The INC Board of Directors shall then review all submissions and shall select the person to be awarded this INC honor.
INC Special Lifetime Award Recipients
2016: Galina Sheetikoff
Galina was granted the INC Special Lifetime Award in 2016 for her years of generous contributions to the club. Galina is an accomplished artist, who has continually supported INC Bazaars. Her paintings have been a part of exhibits around the world and have been featured many times on the covers of INC DICAS books.

INC bylaws are legally registeterd in Portuguese, per registration in Brazilian cartórios. A translation of our bylaws in English is provided below for the sole purpose of facilitating undrstanding.

**BYLAWS OF THE INTERNATIONAL NEWCOMERS CLUB OF SÃO PAULO**

**4TH AMENDMENT TO THE BYLAWS**
**Chapter I - Preliminary Provisions**
**Article 1** - The association Club Internacional Newcomers de São Paulo, referred to in this statute as "Newcomers," was founded on November 5, 2003, with its headquarters at Rua Dr. Alceu de Campos Rodrigues, 247 - Cj. 91 - Sala C, in the city of São Paulo, State of São Paulo. It is a non-profit association established in accordance with Law No. 10,406 of January 10, 2002, with an indefinite duration.
**Chapter II - Objective**
**Article 2** - The Club Internacional Newcomers de São Paulo is a multicultural social association that offers support, information, and ongoing opportunities to its members, fluent in English and part of the international community in São Paulo, through:
- Development of social and cultural activities;
- Promotion of social inclusion and integration among members;
- Assistance to charitable institutions as a means of integrating members into the community and raising awareness of Brazilian realities;
- Maintenance and development of literary, editorial, and printed activities, the resources of which will be fully invested in the association.
- 2.1 - The distribution of salaries or any other financial or economic advantages to its members or directors is expressly prohibited.
- 2.2 - All resources obtained by the association will be applied exclusively within national territory and for the development of its social purposes.
- 2.3 - The association will not participate in any religious or political events, except those of an ecumenical or non-partisan nature.
**Chapter III - Members**
**Article 3** - Any person may be admitted as a member, without distinction of sex, race, creed, or nationality, provided the following requirements are met:
- Fluency in English;
- Residence in the State of São Paulo;
- Previous residence for at least two consecutive years outside Brazil and/or married to a foreign national;
- Personal references including:
- Personal information required in the membership application form provided by the Membership Director;
- Additional information if required by the Membership Director.
- 3.1 - Membership admission will be subject to approval by the Membership Director and will only take effect after the payment of the annual membership fee, due annually from January to December.
- 3.2 - Payment of the annual fee will not, under any circumstances, be refunded or transferred to another person.
- 3.3 - A candidate for membership may attend one monthly meeting of the association to request membership by paying the annual fee. They may also attend other meetings open to non-members when available.
- 3.4 - The amount of the annual fee will be determined by the Deliberative Council by a simple majority vote.
- 3.5 - Each member will have access to the list of members and this statute. This documentation is for the exclusive use of the member and should not be disclosed or handed over to third parties without the consent of the Council; it may not be used for commercial purposes.
- 3.6 - A member wishing to withdraw from the association must express their intention in writing to the Council, demonstrating that they are up to date with their obligations to the association.
- 3.7 - Members are subject to penalties under the following circumstances:
- Providing inaccurate information regarding associational purposes;
- Misbehaving at association events or in any location as a representative of the association;
- Disrespecting members of the Deliberative Council, other members, and other people involved in association events;
- Making defamatory statements about the reputation of the association or its members;
- Any violation of the Bylaws, regulations, resolutions, or policies defined by the Deliberative Council;
- Delay or default in the payment of the annual fee or other obligations, including compensation for damages caused.
- 3.8 - Members who violate the rules of the Bylaws, regulations, resolutions, or policies defined by the Deliberative Council are subject to the following penalties, to be defined at the discretion of the Deliberative Council, considering the severity of the violation:
- Verbal warning;
- Written warning;
- Expulsion.
- 3.8.1 - Repeated violations will be considered aggravating circumstances.
- 3.8.2 - A verbal warning may be issued by any member of the Deliberative Council.
- 3.8.3 - Written warnings and expulsion will be issued by the president.
- 3.8.4 - A member may appeal the punishment within 15 (fifteen) days. The same period will be granted to the party that filed the complaint leading to the punishment to respond to the appeal. After that, the Deliberative Council will make a final decision.
- 3.8.5 - Re-admission of a member must follow the same procedures and requirements as initial admission.
- 3.9 - All former presidents will be lifetime members.
- 3.10 - Lifetime membership will also be granted to winners of the Annual Ex-Presidents Award.
**Chapter IV - Organization**
**Article 4** - The association will be constituted by the General Assembly, the Deliberative Council, which includes the Executive Administrative Committee and the Board, and by Coordinators.
**Title I - The General Assembly**
- 4.1 - The General Assembly will be constituted by a majority of the members present, at least in the first call, or one-third in subsequent calls, and decisions will be made by a majority vote of those present, with no proxy votes allowed, except as required by law.
- 4.1.1 - The General Assembly will meet, ordinarily once a year in November, and extraordinarily at the request of at least one-fifth of the members or at the request of the president, when deemed necessary.
- 4.1.2 - The president will announce the General Assembly on the notice board at the association’s headquarters, with at least seven days' notice, specifying the time, date, and place of the meeting, as well as the matters to be discussed.
- 4.1.3 - It is exclusively the competence of the General Assembly:
- To elect the administrators;
- To dismiss the administrators;
- To approve the accounts;
- To amend the bylaws.
**Title II - The Deliberative Council**
- 4.2 - The Deliberative Council will be made up of the Executive Administrative Committee and the Board.
- 4.2.1 - The Deliberative Council will serve for a term of one year and will meet once a month.
- 4.2.2 - Each member of the Deliberative Council will receive a manual of obligations and a copy of these Bylaws.
- 4.2.3 - Each member of the Deliberative Council must provide an annual report of their activities in the association for presentation at the last meeting of the year.
- 4.2.4 - If a member of the Council cannot attend the monthly meeting, they must designate a representative or send a written report of their activities.
- 4.2.5 - The Deliberative Council will be presided over by the president of the Association and must deliberate by a majority vote on any matter not specifically assigned to other powers of the Association by these Bylaws.
**Title III - The Executive Administrative Committee**
- 4.3 - The Executive Administrative Committee will consist of the president, vice-president of welcoming, vice-president of events, vice-president of communications, secretary, and treasurer, and will be the administrative body of the association.
- 4.3.1 - The Executive Administrative Committee will serve for a term of one year.
- 4.3.2 - The President, Treasurer, and Secretary will be elected at the annual General Assembly in November, and the Vice-Presidents of Welcoming, Events, and Communications will be appointed by the elected president. They will take office on January 1 of the following year.
- 4.3.3 - The Executive Administrative Committee will meet, ordinarily, once a month and extraordinarily upon the president's call.
- 4.3.4 - It is the President’s responsibility:
- To provide general oversight of the association;
- To preside over assemblies and meetings as the official representative of the association;
- To appoint an assistant treasurer, if desired, and the entire board and secretary;
- To preside over all committees ex officio, except the nomination committee;
- To appoint or dismiss any permanent or temporary director or secretary, including appointing (or dismissing) former directors as advisors as deemed necessary;
- To manage the association’s resources and handle bank accounts;
- To represent the association in legal matters.
- 4.3.5 - It is the responsibility of the Vice-President of Welcoming:
- To supervise the following directories: Membership Admissions, New Members Orientation (called Red Rose), and Monthly General Meetings;
- To supervise the meetings;
- To substitute the president in their absence.
- 4.3.6 - It is the responsibility of the Vice-President of Events:
- To supervise the directories related to the association's events and activities, specifically, Social Activities Director, Lunches Director, Commercial Relations Director, and Community Services Director, as well as the secretariats and committees created for special events;
- To substitute the president in their absence and in the absence of the Welcoming Director.
- 4.3.7 - It is the responsibility of the Vice-President of Communications:
- To supervise the directories and committees related to the association's public relations and media communications;
- To represent the association to the public;
- To assist in the association’s marketing efforts;
- To substitute the president in their absence and in the absence of the Welcoming and Events Directors.
- 4.3.8 - It is the responsibility of the Secretary:
- To provide the minutes of the General Assembly and Executive Administrative Committee meetings;
- To manage all documentation of the association, including correspondence;
- To maintain the membership records.
- 4.3.9 - It is the responsibility of the Treasurer:
- To manage the financial resources of the association;
- To maintain accounting records of the association's revenues and expenditures;
- To present the financial situation of the association at the General Assembly.
- 4.3.10 - The members of the Executive Administrative Committee will not receive any remuneration or salary.
**Title IV - Coordinators**
- 4.4 - The coordinators will be appointed by the Executive Administrative Committee to manage specific areas of activity within the association.
- 4.4.1 - Coordinators will serve for a term of one year and will be evaluated annually by the Executive Administrative Committee for possible reappointment.
- 4.4.2 - The specific roles and responsibilities of the coordinators will be defined by the Executive Administrative Committee.
**Chapter V - Final Provisions**
**Article 5** - The Bylaws may be amended by a decision of two-thirds of the members present at the General Assembly.
**Article 6** - In the event of the dissolution of the association, the assets will be destined to a non-profit entity, chosen by the General Assembly at the time of dissolution.

Capítulo I - Disposições Preliminares
Artigo 1 - A associação Clube Internacional Newcomers de São Paulo, neste Estatuto designada Newcomers’, fundada aos 5 dias do mês de novembro do ano de 2003, com sede à Rua Dr. Alceu de Campos Rodrigues, 247 - Cj. 91 - Sala C, na cidade de São Paulo, Estado de São Paulo, é uma associação, instituída de acordo com a Lei n. 10406 de 10 de janeiro de 2002, sem fins lucrativos ou econômicos, cujo prazo de duração é indeterminado.
Capítulo II - Do Objetivo
Artigo 2 - O Clube Internacional Newcomers de São Paulo é uma associação social, multicultural, que oferece apoio, informação e oportunidades contínuas aos seus associados, fluentes no idioma inglês e integrantes da comunidade internacional de São Paulo através de:
- desenvolvimento de atividades sociais e culturais;
- promoção da inclusão social e integração entre os associados;
- assistência a instituições de caridade, como meio de integração dos associados à comunidade e de conscientização sobre a realidade brasileira;
- manutenção e desenvolvimento de atividades literárias, editoriais e impressas, os recursos dos quais serão integralmente investidos na associação.
- 2.1 - É expressamente vedada a distribuição de vencimentos ou qualquer outra vantagem de natureza financeira ou econômica a seus associados ou diretora.
- 2.2 - Todos os recursos obtidos pela associação serão aplicados exclusivamente em território nacional e para o desenvolvimento de seus fins sociais.
- 2.3 - A associação não participará de qualquer evento religioso ou político, exceto aqueles de caráter ecumênico ou suprapartidários.
Capítulo III - Dos Associados
Artigo 3 - Poderá ser admitido como associado qualquer pessoa, sem distinção de sexo, raça, credo ou nacionalidade, contanto que presentes os seguintes requisitos:
- Fluência no idioma inglês;
- Residência no Estado de São Paulo;
- Residência anterior por no mínimo dois anos consecutivos fora do Brasil e/ou casado com estrangeiro;
- Referências pessoais incluindo:
- Informações pessoais exigidas no formulário de associação fornecido pelo Diretor do Quadro de Associados;
- Informações complementares se requerido pelo Diretor do Quadro de Associados.
- 3.1 - A admissão do associado será feita mediante a aprovação pelo Diretor do Quadro de Associados e somente produzirá efeitos depois do pagamento da contribuição social, devida anualmente, levando-se em conta os meses de janeiro a dezembro.
- 3.2 - O pagamento da anuidade não será, em hipótese alguma, devolvido ou transferido para outra pessoa.
- 3.3 - Um candidato a associado poderá participar de uma reunião mensal da associação para requerer a sua associação mediante contribuição anual. Poderá participar em outras reuniões abertas a não membro, quando houver.
- 3.4 - O valor da anuidade será determinado pelo Conselho Deliberativo, por simples maioria de votos.
- 3.5 - Cada associado terá acesso a relação de membros e do presente estatuto. Essa documentação é de uso exclusivo do associado e não deverá ser divulgada ou entregue a terceiros, sem o consentimento do Conselho não poderá ser utilizada para fins comerciais.
- 3.6 - O associado que tiver interesse em se retirar da associação deverá manifestar sua intenção por escrito ao Conselho, comprovando estar em dia com suas obrigações perante a associação.
- 3.7 - Associados estarão sujeitos a penalidades nas seguintes circunstâncias:
- Prover informações imprecisas sobre propósitos associativos;
- Comportar-se inapropriadamente nos eventos da associação ou em qualquer local como representante da associação;
- Desrespeitar membros do Conselho Deliberativo, associados e outras pessoas envolvidas nos eventos da associação;
- Manifestações que forem difamatórias à reputação da associação ou de seus membros;
- Qualquer violação ao Estatuto, regulamentos, resoluções ou políticas definidas pelo Conselho Deliberativo;
- Atraso ou inadimplência no pagamento da anuidade ou de outras obrigações, incluindo indenizações decorrentes de danos causados.
- 3.8 - Associados que violarem as regras do Estatuto, regulações, resoluções ou políticas definidas pelo Conselho Deliberativo estarão sujeitos às seguintes penalidades, a serem definidas segundo a discricionariedade do Conselho Deliberativo levando em consideração a gravidade da violação:
- Advertência Verbal
- Advertência Escrita;
- Expulsão.
- 3.8.1 - A reincidência de qualquer violação será considerada uma circunstância agravante.
- 3.8.2 - A advertência verbal poderá ser aplicada por qualquer membro do Conselho Deliberativo.
- 3.8.3 - Advertências escritas e a expulsão serão promulgadas pelo presidente.
- 3.8.4 - O membro poderá recorrer da punição no prazo de 15 (quinze) dias. Igual prazo será concedido à parte que apresentou a reclamação que deu origem à punição para que responda ao recurso. Depois isso o Conselho Deliberativo decidirá de forma definitiva.
- 3.8.5 - A readmissão de um membro deverá seguir os mesmos procedimento e exigências de uma admissão.
- 3.9 - Todos os ex-presidentes serão associados vitalícios.
- 3.10 - Serão associaodos vitalícios também os ganhadores do Prêmio Anual dos Ex-Presidentes.
Capítulo IV - Da Organização
Artigo 4 - A associação será constituída pela Assembléia Geral, pelo Conselho Deliberativo, o qual inclui a Comissão Executiva Administrativa e a Diretoria, e pelos Coordenadores.
Título I - Da Assembléia Geral
- 4.1 - A Assembléia Geral será constituída pela metade e mais um dos associados, no mínimo, na primeira convocação ou um terço, nas convocações posteriores, e as decisões serão tomadas pela votação da maioria dos presentes, não sendo admitidos votos de procuradores, ressalvadas as prescrições legais.
- 4.1.1 - A Assembléia Geral reunir-se-á, ordinariamente uma vez por ano, no mês de novembro, e, extraordinariamente, por solicitação de pelo menos um quinto dos associados ou por solicitação do presidente, quando esse julgar necessário.
- 4.1.2 - O presidente fixará a convocação da Assembléia Geral no quadro de avisos na sede da associação, com antecedência de sete dias, especificando a hora, data e local de sua realização, além dos assuntos a serem tratados.
- 4.1.3 - Compete privativamente à Assembléia Geral:
- eleger os administradores;
- destituir os administradores;
- aprovar as contas;
- alterar o estatuto.
Título II - Do Conselho Deliberativo
- 4.2 - O Conselho Deliberativo será constituído pela Comissão Executiva Administrativa e pela Diretoria.
- 4.2.1 - O Conselho Deliberativo exercerá o mandato de um ano e reunir-se-á uma vez por mês.
- 4.2.2 - Cada membro do Conselho Deliberativo receberá um manual de obrigações e uma cópia do presente Estatuto.
- 4.2.3 - Cada membro do Conselho Deliberativo deverá fazer um relatório anual de suas atividades na associação para apresentação na última reunião do ano.
- 4.2.4 - Se um membro do Conselho não puder comparecer à reunião mensal, deverá indicar um representante ou enviar um relatório escrito de suas atividades.
- 4.2.5 - O Conselho Deliberativo será presidido pelo presidente da Associação e deverá deliberar, por maioria de votos, em definitivo, sobre qualquer matéria não atribuída especificamente a outros poderes da Associação por este Estatuto.
Título III - Da Comissão Executiva Administrativa
- 4.3 - A Comissão Executiva Administrativa constituída pelo presidente, vice-presidente de boas-vindas, vice-presidente de eventos, vice-presidente de comunicações, secretário e tesoureiro, e será o órgão administrativo da associação.
- 4.3.1 - A Comissão Executiva Administrativa exercerá o mandato de um ano.
- 4.3.2 - Serão eleitos na Assembléia Geral anual no mês de novembro o Presidente, Tesoureiro e Secretário e nomeados pelo presidente eleito os Vice-Presidentes de Boas Vindas, de Eventos e de Comunicações. Tomarão posse no primeiro dia do mês de janeiro do ano seguinte.
- 4.3.3 - A Comissão Executiva Administrativa deverá reunir-se, ordinariamente, uma vez por mês e extraordinariamente, mediante convocação do presidente.
- 4.3.4 - Compete ao Presidente:
- A supervisão geral da associação;
- Presidir as assembléias e reuniões, como representante oficial da associação;
- Indicar um tesoureiro assistente, se quiser, e toda a diretoria e a secretaria;
- Presidir todas as comissões ex officio, exceto a comissão de nomeação;
- Indicar ou dispensar qualquer diretor ou secretário permanente ou temporário, inclusive indicar (ou dispensar) ex-diretores para posições de conselheiros, conforme julgar necessário;
- Dispor dos recursos da associação e movimentar contas bancárias;
- Representar a associação em juízo e fora dele.
- 4.3.5 - Compete ao Vice-Presidente de Boas-Vindas:
- Supervisionar as seguintes diretorias: de Admissão dos Associados, de Orientação de Novos Associados (denominada Red Rose), e de Reuniões Gerais Mensais;
- Supervisionar as reuniões;
- Substituir o presidente em seu impedimento.
- 4.3.6 - Compete ao Vice-Presidente de Eventos:
- Supervisionar as diretorias relativas a eventos e atividades da associação, especificamente, de Diretor de Atividades Sociais, Diretor de Almoços, Diretor de Relações Comerciais e Diretor de Serviços Comunitários, bem como as secretarias e comissões criadas para eventos especiais.
- Substituir o presidente em seu impedimento e no impedimento do diretor de boas-vindas.
- 4.3.7 - Compete ao Vice-Presidente de Comunicações:
- Supervisionar as diretorias relativas às comunicações, as quais incluem o boletim, portal eletrônico e correio eletrônico, em especial, Diretor Editor do Boletim Mensal, Diretor de Marketing e Propaganda e Diretor Webmaster, administrador do portal eletrônico;
- Supervisionar os secretários e comissões criadas especificamente para outras publicações da associação;
- Substituir o presidente no caso de sua ausência, da ausência do Vice-Presidente de Boas-Vindas e na ausência do Vice-Presidente de Eventos.
- 4.3.8 - Compete ao Secretário:
- Fazer as atas de todas as reuniões;
- Cuidar da correspondência da associação.
- 4.3.9 - Compete ao Tesoureiro:
- Supervisionar e aconselhar as diretorias relacionadas à geração ou dispêndio de recursos, tais como aquelas que envolvam a venda de espaço publicitário no boletim informativo, compras e vendas de serviços comunitários;
- Receber e ser o depositário de todos os recursos da associação;
- Movimentar as contas bancárias da associação;
- Manter à disposição do Conselho, ou de auditoria externa, todos os documentos referentes às finanças da associação.
4.3.10 - No caso de vacância de algum cargo eletivo, a Comissão Executiva Administrativa apontará, por maioria simples, um sucessor, que tomará posse para cumprir o final daquele mandato.

Título IV - Da Diretoria
- 4.4 - São os seguintes os diretores que constituirão uma comissão para auxiliá-los no desempenho de suas funções:
- Diretor do Quadro de Associados, que será responsável pela admissão de novos associados durante as reuniões mensais, pela manutenção do banco de dados referente aos associados, e pela publicação anual do catálogo de endereços;
- Diretor de Orientação de Novos Associados, que será responsável pela organização de reuniões mensais (denominadas Red Rose Coffee), com informações e orientações para os novos associados;
- Diretor de Reuniões Gerais Mensais, que será responsável pela organização das reuniões mensais da associação;
- Diretor de Relações Comerciais, que será responsável pelo relacionamento com os vendedores para as reuniões mensais e eventos afins. Esse diretor deverá manter a lista dos vendedores e todas as informações sobre os pagamentos;
- Diretor Editor do Boletim Informativo, que será responsável pela publicação e pela divulgação, neste boletim, das atividades da associação e pela postagem do mesmo;
- Diretor de Propaganda, que será responsável pela propaganda da associação, bem como responsável pela seleção, obtenção de aprovação e cobrança de anúncios em publicações;
- Diretor de Marketing, que será responsável pelo marketing da associação junto à comunidade, em conformidade com o presente estatuto e deliberações da diretoria;
- Diretor Webmaster, que será responsável pela manutenção do portal eletrônico da associação;
- Diretor de Serviços Comunitários, que será o responsável pela coordenação das atividades beneficentes da associação;
- Diretor de Atividades, que será responsável pela organização e promoção de atividades sociais;
- Diretor de Almoços, que será responsável pela organização e promoção de almoços.
- 4.4.1 Os diretores serão nomeados pelo presidente na medida do necessário para o bom funcionamento da associação e exercerão mandatos de um ano, podendo o presidente deixar de criar a diretoria caso entenda desnecessário naquele momento, desde que designe a sua função a membro da Comissão Executiva Administrativa.
Título V - Dos Coordenadores
- 4.5 - Poderão ser constituídas Secretarias ou Comissões para o auxilio no desempenho de funções, na medida do necessário.
- 4.5.1 - Os coordenadores poderão participar das reuniões do Conselho Deliberativo, porém não poderão deliberar.
Capítulo V - Das Nomeações e Eleições
Artigo 5 - A comissão de indicação para as chapas candidatas à Comissão Executiva Administrativa contará com quatro membros, dois do Conselho e dois do quadro geral dos associados. Essa comissão será nomeada pelo presidente. A comissão elegerá seu diretor.
- 5.1 - Será permitida a reeleição para os cargos eletivos.
- 5.2 - Pelo menos uma chapa com os candidatos para os cargos de presidente, secretário e tesoureiro será divulgada para todos os associados via correio eletrônico até o dia 1o de outubro. Outras chapas deverão ser divulgadas até um mês antes da eleição.
- 5.3 - A eleição da Comissão Executiva Administrativa será feita na Assembléia Geral Ordinária de novembro e, posteriormente, em 31 de dezembro, uma reunião do Conselho Deliberativo fará a transferência oficial dos cargos para o novo Conselho Deliberativo que planejará o calendário de eventos e atividades para o período compreendido entre o mês de janeiro e dezembro do ano seguinte à eleição.
- 5.4 - A eleição será feita por voto oral, se houver apenas uma chapa de candidatos. Se houver mais de uma chapa, a eleição será feita por voto escrito e secreto.
- 5.5 - A eleição de qualquer candidato será considerada válida, quando aprovada pela maioria simples de todos os membros presentes qualificados para votar.
Capítulo VI - Das Fontes e Recursos da Associação
Artigo 6 - O patrimônio da associação se constituirá de:
- bens móveis e imóveis, presentes e futuros;
- doações, subvenções, auxílios de poderes ou entidades públicos ou de entidades privadas, nacionais ou estrangeiras, e legados, presentes e futuros;
- renda de seus bens;
- renda de seus serviços ou atividades econômicas;
- 6.1 - As receitas do Newcomers terão, dentre outras, as seguintes fontes:
- doação de bens e rendas diversas;
- auxílios e subvenções provenientes de pessoas jurídicas públicas e privadas;
- juros e outros rendimentos resultantes de aplicações diversas;
- fundos e provisões especiais, se necessário;
- rendas resultantes de prestação de serviços;
- rendas resultantes da venda das publicações da associação;
- rendas resultantes da venda espaços publicitários nas publicações da associação.
- 6.2 - Os bens e as rendas da associação serão aplicados integralmente no país para a realização dos objetivos sociais, conforme definidos no presente Estatuto.
- 6.2.1 - O Conselho Deliberativo poderá, por maioria simples de votos, designar percentual das rendas do clube para obras de caridade, respeitados os limites estabelecidos pelo orçamento anual.
- 6.2.2 - Os membros da Assembléia Geral, do Conselho deliberativo e das secretarias e comissões não perceberão remuneração e não usufruirão de vantagens ou benefícios sob qualquer título pelo exercício de seus cargos.
- 6.2.3 - A associação poderá reembolsar as despesas dos membros acima citados, quando a seu serviço.
Capítulo VII - Disposições Finais
Artigo 7 - A reforma do presente Estatuto ou a destituição de qualquer administrador somente poderá ocorrer em assembléia convocada especialmente para esse fim, e será necessário o voto favorável de dois terços dos presentes, não podendo ela deliberar em primeira convocação sem a maioria absoluta dos associados, ou com menos de um terço nas convocações seguintes.
- 7.1 - Qualquer despesa extra, superior às despesas rotineiras destinadas para o funcionamento da associação, deverá ser aprovada pela maioria simples do Conselho Deliberativo.
- 7.2 - Nenhum membro do Conselho Deliberativo poderá integrar os quadros de diretoria de outras associações cujos interesses conflitem com aqueles da associação Newcomers, ou que não permitam a necessária dedicação para o bom desempenho de suas funções.
- 7.2.1 - Os membros do Conselho Deliberativo do Newcomers’ deverão informar à associação de sua participação nos quadros deliberativos de outras associações.
- 7.3 - A associação será dissolvida com a aprovação de dois terços da totalidade dos associados, em Assembléia especialmente convocada para tal deliberação.
- 7.4 - No caso de dissolução da associação, haverá anúncio em Assembléia Geral, e os recursos remanescentes após a liquidação de todas suas obrigações serão destinados conforme o decidido pelo voto dos membros presentes na assembléia.
- 7.5 - O Conselho Deliberativo terá autoridade para dirimir as questões não previstas neste estatuto.
- 7.6 - Os associados não terão qualquer responsabilidade, solidária ou subsidiária, pelas obrigações contraídas pela associação.
- 7.7 - A presente alteração deste Estatuto foi aprovada pela Assembléia Geral Extraordinária de 1º de abril de 2015, especialmente convocada para este fim, conforme a ata lavrada naquela ocasião.
